Welcome to WorldTone! These Terms and Conditions (“Terms”) govern your use of the WorldTone website (worldtonekol.com), mobile application (“App”), and related services (collectively, “Services”) provided by WorldTone, Inc. (“WorldTone,” “we,” “us,” or “our”), a company incorporated in Delaware/United States. By accessing or using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Acceptance of Terms
1.1 Agreement: These Terms form a legally binding contract between you and WorldTone. We may update these Terms periodically, with changes effective upon posting. Your continued use after updates constitutes acceptance.
1.2 Eligibility: You must be at least 18 years old and capable of entering a contract under applicable law to use the Services. By using WorldTone, you represent that you meet these requirements.
2. Description of Services
WorldTone is a platform facilitating 1-on-1 video chats (“Tones”) between Hosts (KOLs, professionals like lawyers or psychologists) and Guests (casual users, fans, or clients). Key features include:
Guest-to-Pay (GTP) Tones: Guests pay Hosts for chats (e.g., $10–$50 for 15 minutes).
Guest-to-Earn (GTE) Tones: Hosts pay Guests (e.g., $5 for 15 minutes).
5 Free Tones Daily: Hosts offer up to 5 free 15-minute Tones daily.
Referral Rewards: Users earn 2% of Tone value for referrals hosting or joining, plus 1% to uplines for hosting.
User-Selected Profiles: Guests choose Hosts from visible profiles.
3. User Accounts
3.1 Registration: To use the Services, you must create an account with accurate information (e.g., name, email). You’re responsible for maintaining password confidentiality and all account activity.
3.2 Account Types:
Hosts: KOLs or professionals offering Tones.
Guests: Users joining Tones.
3.3 Suspension/Termination: We may suspend or terminate your account for violating these Terms, at our sole discretion, with or without notice.
4. User Conduct
4.1 Acceptable Use: You agree to use the Services lawfully and not to:
Post or transmit harmful, obscene, defamatory, or illegal content.
Harass, abuse, or threaten other users.
Impersonate others or misrepresent your credentials (e.g., as a licensed professional).
Use automated tools (e.g., bots) to access the Services.
4.2 Professional Services: Hosts offering professional advice (e.g., legal, psychological) must hold valid credentials and comply with applicable laws. WorldTone does not verify credentials—users rely on such advice at their own risk.
4.3 Content Ownership: You retain ownership of content you create during Tones but grant WorldTone a non-exclusive, royalty-free license to use, store, and display it to provide the Services.
5. Payments and Fees
5.1 Currency: Transactions use “points” (1 point = $0.10 USD), convertible to cash via our payment processor (e.g., Stripe).
5.2 GTP Tones:
Guests pay Hosts a set rate (e.g., 100 points/$10).
WorldTone retains 20% (e.g., 20 points/$2) as a commission.
5.3 GTE Tones:
Hosts pay Guests (e.g., 50 points/$5).
WorldTone retains 20% (e.g., 10 points/$1).
5.4 Free Tones: Up to 5 daily Tones per Host are free; no fees apply. (coming soon)
5.5 Referral Rewards:
2% of Tone points (e.g., 2 points/$0.20 on 100 points) to the referrer if their invitee hosts or joins.
1% (e.g., 1 point/$0.10) to the referrer’s upline if the invitee hosts.
5.6 Payouts: Hosts and Guests may withdraw earnings (minimum $10) monthly, subject to processing fees (e.g., Stripe’s 2.9% + $0.30). We may withhold payouts for fraud or disputes.
5.7 Taxes: You’re responsible for reporting and paying taxes on earnings per local laws.
6. Intellectual Property
6.1 WorldTone IP: The Services, including the “WorldTone” name, logo, and software, are owned by WorldTone and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute them without permission.
6.2 User Content: You grant us a license to use your content (e.g., Tone recordings) as needed for the Services. We don’t claim ownership beyond this.
7. Privacy
7.1 Data Collection: We collect and use your data (e.g., name, email, chat recordings) per our Privacy Policy [link to policy]. By using the Services, you consent to this.
7.2 Recordings: Tones may be recorded for quality or dispute resolution, with notice provided where required by law.
8. Disclaimers
8.1 As-Is Service: WorldTone provides the Services “as is” without warranties of uninterrupted or error-free operation.
8.2 Professional Advice: Advice from Hosts (e.g., legal, psychological) is not endorsed by WorldTone. Users assume all risks from relying on it.
8.3 Third Parties: We use third-party services (e.g., Agora for video, Stripe for payments)—their terms apply where relevant.
9. Limitation of Liability
9.1 Cap: Our liability for any claim arising from the Services is limited to the amount you paid us in the past 12 months.
9.2 Exclusions: We’re not liable for indirect, incidental, or consequential damages (e.g., lost profits, emotional distress) or user-generated content.
10. Termination
10.1 By You: You may stop using the Services anytime and request account deletion via support@worldtone.com.
10.2 By Us: We may terminate your access for breaches (e.g., illegal conduct) or if we discontinue the Services, with notice where feasible.
10.3 Effect: Termination ends your right to use the Services; earned but unpaid funds may be forfeited if due to a breach.
11. Dispute Resolution
11.1 Governing Law: These Terms are governed by Delaware law, without regard to conflict-of-law principles.
11.2 Arbitration: Disputes will be resolved by binding arbitration in Delaware, per American Arbitration Association rules, except for small claims or injunctive relief. You waive class action rights.
11.3 Jurisdiction: If arbitration doesn’t apply, disputes go to [Insert County/State] courts.
12. Miscellaneous
12.1 Entire Agreement: These Terms, with our Privacy Policy, are the full agreement between you and WorldTone.
12.2 Severability: If any provision is invalid, the rest remain enforceable.
12.3 Force Majeure: We’re not liable for delays due to events beyond our control (e.g., natural disasters).

13. Pre-Launch Note
